By accessing or using https://www.floleads.com, joining our waitlist, or using anyFloLeads service (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and FloLeads. We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

FloLeads provides an AI-powered lead follow-up platform designed for real estate agents. The Service includes automated SMS and voice follow-up, CRM integration, lead management tools, and related features (collectively, the "Platform"). The Platform is currently in beta and features may change without notice.

You must be at least 18 years of age and a licensed real estate professional (or authorized representative of one) to use the Service. By using the Service, you represent and warrant that you meet these requirements.

Joining the FloLeads waitlist or beta program does not guarantee access to the Service. We reserve the right to accept or decline any applicant at our sole discretion. Beta access may be limited, modified, or revoked at any time.

Beta participants may be asked to provide feedback. By submitting feedback, you grant FloLeads a royalty-free, perpetual license to use that feedback to improve the Service without any obligation to you.

By providing your phone number and submitting any form on our website, you expressly consent to receive autodialed or pre-recorded SMS text messages from FloLeadsat the number provided. These messages may include transactional messages, onboarding communications, product updates, and promotional offers.

Consent is not required for purchase. You are not required to consent to receive SMS messages as a condition of purchasing any product or service.

You may opt out at any time by replying STOP to any message. For help, reply HELP or contact us at [email protected]. Message and data rates may apply. Message frequency varies.

You represent and warrant that any phone number you provide belongs to you and that you are authorized to consent to receive SMS messages at that number. You agree to notify us immediately if you change or transfer your phone number.

You agree not to use the Service to:

• Violate any applicable law or regulation, including the TCPA, CAN-SPAM Act, or CCPA.
• Send unsolicited communications to individuals who have not consented.
• Impersonate any person or entity or misrepresent your affiliation.
• Transmit harmful, offensive, or fraudulent content.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to any part of the Service or its systems.
• Reverse engineer, decompile, or disassemble any part of the Service.

If you use the FloLeads platform to send SMS messages to your own leads or contacts, you are solely responsible for:

• Obtaining proper written consent from all recipients before sending any SMS.
• Maintaining records of consent for a minimum of 4 years.
• Complying with all applicable federal and state laws, including the TCPA.
• Honoring opt-out requests promptly and maintaining suppression lists.
• Ensuring your messaging content is truthful and not misleading.

FloLeads is not liable for any TCPA violations, fines, or legal claims arising from your use of the platform to send communications to third parties.

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, software, and AI models — are the exclusive property ofFloLeads and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our express written permission.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. FLOLEADS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

We do not guarantee any specific results from using the Service, including lead conversion rates, appointment bookings, or revenue outcomes.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOLEADS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless FloLeads and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, all provisions of these Terms that by their nature should survive will survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Florida. You waive any right to a jury trial or to participate in a class action lawsuit.
